- JURISDICTION; GOVERNING LAW
- Unless otherwise specified, the materials in the Website are presented solely for the purpose of promoting the Services and associated products, events and services of Company. This Website is controlled and operated by Company from its offices within the United States. Company makes no representation that materials in the Website are appropriate or available for use in other locations. Those who choose to access this Website from other locations do so at their own risk and are responsible for compliance with local laws, if and to the extent local laws are applicable.
- In the event that any provision of these Terms conflicts with the law under which the Terms are to be construed or if any such provisions are held invalid by a court with jurisdiction over the parties to the Terms, such provision will be deemed to be restated to reflect as nearly as possible the original intentions of the parties in accordance with applicable law, and the remainder of these Terms will remain in full force and effect.
- These Terms shall be governed by and construed in accordance with the laws of New York State. If any provision of these Terms shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions. These Terms and any Additional Terms constitute the entire agreement between us relating to the subject matter herein and shall not be modified except in writing, signed by both parties.
- DISPUTE RESOLUTION.
- Notice of Jury Waiver and Class Action. PLEASE READ THIS SECTION CAREFULLY. EXCEPT AS THESE TERMS OTHERWISE PROVIDE, YOU WAIVE YOUR RIGHTS TO TRY ANY CLAIM IN COURT BEFORE A JUDGE OR JURY AND TO BRING OR PARTICIPATE IN ANY CLASS, COLLECTIVE, OR OTHER REPRESENTATIVE ACTION. Other rights that you would have if you went to court, such as access to discovery or appeals, also might be unavailable or limited in arbitration.
- Purpose. The term "Dispute" means any dispute, claim, or controversy between you and Company, its agents, employees, officers, directors, principals, successors, assigns, subsidiaries or affiliates (collectively for purposes of this section, “Company”) arising from or relating in any way to the (1) these Terms and their interpretation or the breach, termination or validity thereof, and the relationships which result from these Terms (2) your use of any Services owned or operated by Company; or (3) any products or services sold or distributed by or through Company, whether based in contract, statute, regulation, ordinance, tort (including fraud, misrepresentation, fraudulent inducement, or negligence), or any other legal or equitable theory, and includes the validity, enforceability or scope of this "DISPUTE RESOLUTION" section (with the exception of the enforceability of the Class Action Waiver clause below). "Dispute" is to be given the broadest possible meaning that will be enforced. If you have a Dispute with Company that cannot be resolved through negotiation within the time frame described in the "Notice of Dispute" clause below, you and Company agree to seek resolution of the Dispute only through arbitration of that Dispute in accordance with the terms of this section, and not litigate any Dispute in court, except for those matters listed in the Exclusions from Arbitration clause. Arbitration means that the Dispute will be resolved by a neutral arbitrator instead of in a court by a judge or jury.
- Jury Trial and Class Action Waiver. EXCEPT AS THESE TERMS OTHERWISE PROVIDES AND TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND COMPANY ACKNOWLEDGE AND AGREE THAT YOU ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY AND TO THE LITIGATION OF DISPUTES IN STATE OR FEDERAL COURTS OF GENERAL JURISDICTION. ANY DISPUTE RESOLUTION PROCEEDINGS, WHETHER IN ARBITRATION OR COURT, WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS OR REPRESENTATIVE ACTION OR AS A NAMED OR UNNAMED MEMBER IN A CLASS, CONSOLIDATED, REPRESENTATIVE OR PRIVATE ATTORNEY GENERAL ACTION, UNLESS BOTH YOU AND COMPANY SPECIFICALLY AGREE TO DO SO IN WRITING FOLLOWING INITIATION OF THE ARBITRATION. THIS PROVISION IS NOT APPLICABLE TO THE EXTENT THIS WAIVER IS PROHIBITED BY LAW.
- Notice of Dispute. Company would like the opportunity to assist you and resolve your disputes informally where possible. Before formally pursuing a Dispute in arbitration, you agree to first send a detailed notice (“Notice”) to Company by email at [email protected]. If Company has a dispute with you, Company agrees to first send a detailed Notice to your e-mail address on file with us. Your Notice must contain all of the following information: (1) your full name; (2) your address, telephone number, and email address; (3) information sufficient for Company to identify any transaction at issue (e.g., your order number, order confirmation communication, etc.); and (4) a detailed description of your dispute, the nature and basis of your claim(s), and the nature and basis of the relief you are seeking with a calculation for it. You must personally sign this Notice. Company’s Notice will likewise set forth (x) information sufficient for you to identify any transaction at issue and (y) a detailed description of our dispute, the nature and basis of our claim(s), and the nature and basis of the relief we are seeking with a calculation for it. You and Company agree to negotiate in good faith about the dispute in an effort to swiftly resolve it to your satisfaction without the need for a formal proceeding. Should Company request a telephone conference with you in an effort to resolve your dispute as part of this informal process, you agree to personally participate (with your counsel if you are represented). This process should result in resolution of the dispute, but if for some reason it is not resolved within 60 days after receipt of a fully completed Notice and the parties have not agreed to extend this time period, you or Company may initiate an arbitration. Compliance with and completion of this mandatory informal dispute resolution process is a condition precedent to filing any demand for arbitration. The statute of limitations and any filing fee deadlines shall be tolled while the parties engage in this process. Unless prohibited by applicable law, the arbitration administrator shall not accept or administer any demand for arbitration unless the claimant has certified in writing that they have fully complied with this process. This certification shall be personally signed by you or Company. A court shall have the authority to enjoin the filing or prosecution of arbitrations without first providing a fully completed Notice and participating in good faith in this informal dispute resolution process.
- Initiation of Arbitration Proceeding/Selection of Arbitrator. If the dispute cannot be resolved through the informal dispute resolution process, the party initiating the arbitration proceeding will initiate it with the American Arbitration Association ("AAA"), www.adr.org, pursuant to the AAA Consumer Arbitration Rules and the Consumer Due Process Protocol (collectively, "AAA Rules") in effect at the time any demand for arbitration is filed with AAA. If the AAA is unavailable or unwilling to apply this Dispute Resolution Section as written, the parties shall mutually agree on an alternative administrator that will administer the proceeding under the Dispute Resolution Section as written. If the parties are unable to agree, they will petition a court of competent jurisdiction to appoint an arbitration administrator that will do so. Any arbitration will be held before a single neutral arbitrator. The terms of this section govern in the event they conflict with the rules of the arbitration organization selected by the parties.
- Award. The arbitrator will make any award in writing but need not provide a statement of reasons unless requested by a party.
- Location of Arbitration. You or Company may initiate arbitration in New York, New York (unless applicable laws allow otherwise).
- Sole Exceptions to Arbitration. Notwithstanding the foregoing, in lieu of arbitration: (1) either you or Company may elect to have an individual claim heard in small claims court consistent with any applicable jurisdictional and monetary limits that may apply, provided that it is brought and maintained as an individual claim and is not appealed or removed to any court of general jurisdiction; and (2) you agree that you or Company may bring suit in court to enjoin infringement or other misuse of intellectual property rights. You agree to waive your rights to a trial by jury.
- Jurisdiction. To the extent that a cause of action is brought in court pursuant to the exceptions listed above, you agree that such an action shall exclusively be commenced and heard in the state or federal courts of New York, NY, United States of America and you agree to submit to the personal and exclusive jurisdiction of the courts located within the city of New York in the State of New York.
- Opting Out. YOU MAY OPT OUT OF THIS ARBITRATION PROVISION BY SENDING WRITTEN NOTICE TO [email protected] WITHIN THIRTY (30) DAYS OF THE DATE YOU FIRST “ACCEPT” THESE TERMS. FOR THE OPT-OUT TO BE EFFECTIVE, IT MUST INCLUDE YOUR NAME AND THE NAME, ADDRESS, TELEPHONE NUMBER, AND E-MAIL ADDRESS OF YOU AS AN INDIVIDUAL AND (IF APPLICABLE) YOUR ORGANIZATION OPTING OUT OF THIS ARBITRATION PROVISION, AS WELL AS A CLEAR STATEMENT THAT YOU AND (IF APPLICABLE) YOUR ORGANIZATION ARE OPTING-OUT OF THE ARBITRATION REQUIREMENT OF THESE TERMS AND THAT YOU DO NOT WISH TO RESOLVE ANY CLAIMS OR DISPUTES WITH COMPANY RELATED TO THE PLATFORM THROUGH ARBITRATION. ANY OPT-OUT RECEIVED AFTER THE INITIAL THIRTY (30) DAY TIME PERIOD WILL NOT BE VALID.
- MISCELLANEOUS. These Terms do not, and shall not be construed to, create any partnership, joint venture, employer-employee, agency or franchisor-franchisee relationship between you and Company. If any provision of these Terms is found to be unlawful, void or for any reason unenforceable, that provision will be deemed severable from these Terms and will not affect the validity and enforceability of any remaining provision. You may not assign, transfer or sublicense any or all of your rights or obligations under these Terms without our express prior written consent. We may assign, transfer or sublicense any or all of our rights or obligations under these Terms without restriction. No waiver by either party of any breach or default under these Terms will be deemed to be a waiver of any preceding or subsequent breach or default. Any heading, caption or section title contained herein is for convenience only, and in no way defines or explains any section or provision. All terms defined in the singular shall have the same meanings when used in the plural, where appropriate and unless otherwise specified. Any use of the term “including” or variations thereof in these Terms shall be construed as if followed by the phrase “without limitation.” The Company will not be responsible for any failure to fulfill any obligation due to any cause beyond its control.
- CONTACT US. Questions about these Terms and reports of violations of these Terms should be directed to [email protected]. Please note that e-mail communications will not necessarily be secure; accordingly, you should not include any sensitive information in your e-mail correspondence with us.

Otherwise, purchases through our Website are facilitated by our service provider, Planvine Ltd (doing business as Line-Up) (“Line-Up”) and payments are processed by our payment processors, Ru Management, LLC and Block, Inc., Square Capital, LLC, and/or Square Financial Services, Inc. (“Payment Processors”). The following terms shall apply to Item purchases:
- All ticketholders must be 16 years of age or over.
- When completing a purchase, you agree that your payment and other information will be processed by Line-Up and our Payment Processors. Ru Management, LLC is the merchant of record for purchases.
- Ticket purchases may be subject to booking, facility, service, and/or processing fees, which will be indicated to you prior to completing your order. Per applicable state and local laws, tickets may also be subject to tax, which will be displayed either separately or included in the total amount due.
- The Company may make available, through third-party providers such as SecureMyBooking, optional refund protection or similar ancillary services (“Refund Protection Services”) that may be purchased in connection with a ticket at the time of booking. Any Refund Protection Service is provided solely by the applicable third-party provider and is subject to that provider’s own terms and conditions. The purchase of a Refund Protection Service is voluntary and is separate from the ticket purchase.
- Tickets and related Items cannot be refunded unless a performance is officially cancelled. If a performance is canceled, ticket holders may be offered an exchange for an alternative performance (subject to availability), a credit, or a refund of the ticket face value and any mandatory facility fees, excluding any applicable service fees, processing fees, and any charges for optional Refund Protection Services or other ancillary third-party products. For the avoidance of doubt, charges paid for Refund Protection Services (e.g., SecureMyBooking) are non-refundable in the event of a performance cancellation and are governed solely by the terms of the applicable third-party provider.
- Tickets and related Items, including hospitality packages, for all events are non-refundable and may not be exchanged once purchased, except as provided above.
- For postponed, rescheduled, or moved events, tickets remain valid and no further action is required. The Company may, on an event-by-event basis, approve refunds or credits and will notify ticket holders of their options. The Company will attempt to contact ticket holders to update them on event status but does not guarantee notification before the event date. The Company is not liable for travel or other expenses in connection with any cancelled, postponed, rescheduled, or moved event.
- Every member of the audience, regardless of age, must be in possession of a valid ticket in order to gain entry to the Theatre. Children under the age of 16 must be accompanied by and sat next to a parent or guardian who is at least 18 years old.
- Ticket holders only have a right to a seat of the value corresponding to that stated on the ticket and The Company reserves the right to provide alternative seats to those stated on a ticket.
- If you arrive late for the show or other event for which you have purchased a ticket or other Item, whether or not you are able to enter the Theatre or attend all or a portion of the show or event is at the Company’s discretion.
- All tickets remain the sole property of The Company.
- The delivery methods available for tickets and related Items, including hospitality packages, from The Company are:
E-Ticket: The E-Ticket will take the form of an electronic ticket delivered via email (which may include a PDF attachment or other electronic ticketing format) containing ticket or Item information and a QR code that will grant access to the venue. The E-Ticket must be scanned at the venue to gain entry. For paperless entry, it can be scanned from a mobile phone. Customers may also visit our box office within one hour prior to the applicable scheduled performance to request a printed ticket with confirmation of an E-Ticket purchase. The E-Ticket delivery method is free of charge to the customer. A processing fee may apply to E-Ticket printing requests at our box office.
Will Call: Will Call tickets may be collected at the Theatre box office within one hour prior to the applicable scheduled performance upon presentation of a valid photo ID and the credit/debit card used for purchase. A processing fee may apply.
Reservation or Guest List: Certain events will not require tickets. After purchasing a reservation for such an event, each customer will receive a confirmation email. The Company will inform customers via email how to claim their reservation upon arrival at the Theatre, which may include presenting a valid photo ID and the credit/debit card used for purchase.
- Confirmation of purchase will be provided on completion of the booking transaction in a durable medium, via email. Tickets with QR codes for entry may be delivered any time prior to the performance.
- It is the responsibility of the customer to verify receipt of emails containing both the confirmation of ticket or other Item purchase and the tickets. If you have not received either of these emails, please check your deleted, junk or spam email folders as some email providers divert The Company’s emails to junk or spam folders, for which The Company is not responsible and The Company shall not be liable to the customer for any refunds or exchanges of tickets in these circumstances.
- Please contact Astor Place Theatre customer relations at [email protected] as soon as possible if you have not received your confirmation of purchase email within 24 hours or your email containing the tickets by 24 hours prior to the performance time.
- All orders are subject to credit card approval and billing address verification. Orders placed using information that is found to be false, incomplete, or unverifiable are subject to cancellation at any time, and cancelled tickets or Items may be resold without further notice to the original purchaser.
- Tickets and related Items are non-transferable and must not be resold or transferred to any person or entity for commercial gain or otherwise, unless such transfer is not able to be restricted under applicable law. If any tickets are resold or transferred (or are attempted to be resold or transferred) for commercial gain by anyone other than official resellers of The Company, then the tickets or other Items will become void and the ticket holder will be a trespasser and may be refused entry to, or ejected from, the Theatre. In such circumstances, The Company will not be under any obligation to offer a refund, and such person may be subject to legal action.
- If one person buys multiple tickets or related Items, such as hospitality packages, the provision by the purchaser of the tickets to their guests will not constitute a breach of the transfer restrictions under these terms and conditions (provided that the provision of tickets to guests is not made for commercial gain). However, the purchaser agrees that by purchasing tickets or related Items, they have agreed to the Terms and Conditions for astorplacetheatre.com, including these Ticketing Terms & Conditions, on behalf of themselves and their guests and the purchaser shall at all times be responsible for their guests’ compliance with such terms.
- The Company may restrict ticket and other Item sales to a maximum number per person or household and reserves the right to cancel any tickets or Items purchased in excess of this number.
- Wheelchair and mobility-impaired seating is intended for patrons with mobility disabilities. The venue reserves the right to relocate and charge the difference between the lower price and full price in the event that such tickets are being used by a patron who does not require such seating.
- The Company offers accessible seating options for every performance, and may offer Assistive Hearing Devices in certain of our performance spaces. Please refer to our Accessibility Information Page for more information.
- Each ticket contains a unique QR code or barcode that permits one (1) entry per scan. Once scanned, the ticket cannot be used for re-entry or by any other person.
- Tickets cannot be replaced if lost, stolen, or destroyed and are valid only for the event and seat for which they are issued. It is your responsibility to safeguard your ticket(s) as you would cash or other valuables.
- Tickets are not redeemable for cash.
- Tickets may not be copied, reproduced, or duplicated in any form. Unauthorized duplication or sale of a ticket may result in denial of admission to the applicable event, and the Company is not responsible for any inconvenience caused by unauthorized duplication.
- Tickets obtained from unauthorized sources may be counterfeit or otherwise invalid. Any purchase from an unauthorized source is at the purchaser’s sole risk.
- This ticket may not be resold within 500 feet of the venue for the applicable event. The unlawful resale or attempted resale of a ticket is grounds for seizure and cancellation without compensation. Certain maximum resale premiums and other restrictions may apply in accordance with applicable law.
- Each ticket constitutes a revocable license. The Company reserves the right, to the extent permitted by law, to revoke the license granted by any ticket and refuse admission for any reason in its sole discretion. In such event, the Company’s sole obligation shall be to refund the face value of the ticket.
